Kain Lawyers advised CIM in the extension of their partnership with Liverty Housing

Kain Lawyers is pleased to announce its role as legal adviser to Conscious Investment Management (CIM) in the extension of their partnership with leading specialist disability accommodation (SDA) service provider and registered charity, Liverty Housing. In partnership with Liverty Housing, CIM’s dedicated SDA fund provided financing for the acquisition of an additional 44 new SDA dwellings. Kain Lawyers Director Brian Vuong who led the transaction said, “We are delighted to have advised CIM on all aspects of this transaction with Liverty Housing, underpinned by the acquisition of a portfolio of SDA dwellings in underserved areas. This ongoing partnership will help to ensure the delivery of much-needed high-quality, long-term accommodation and support for tenants with disabilities.” Kain Lawyers advised CIM on the structured financing provided by its dedicated SDA fund, incorporating equity capital from value-aligned investors and a new senior debt facility provided by the National Australia Bank (NAB). The firm also advised CIM on property aspects of the transaction and bespoke commercial arrangements with Liverty Housing. CIM has partnered with Liverty Housing and has been investing in the SDA sector since February 2020. This latest transaction will result in the partnership having financed 116 SDA dwellings and 11 overnight support assistance dwellings.

PGIM Provides Tailored Financing Solution to Engage Marine

Kain Lawyers is pleased to have advised towage and marine services provider Engage Marine on the provision of a tailored financing solution by PGIM Private Capital. PGIM provided senior and junior debt facilities to fund future growth opportunities for Engage Marine as they expand their national presence and continue delivering towage solutions to new and existing customers. The bespoke financing package required Kain Lawyers to bring together a team of transaction experts across the firm. The deal team was led by Gerry Cawson and Alyce Ricciardi with assistance from Jack Dittmar and Gemma Kerin on the corporate elements of the deal while Michael Chrisohoou and Amira Enayatzada led on the debt elements. Innovative financing model paves way for partnership between CIM and Greening Australia

Kain Lawyers is pleased to announce they have advised Conscious Investment Management (CIM) in the successful partnership with environmental not-for-profit Greening Australia to deliver biodiverse environmental planting projects across Australia.

The parties inaugural investment involved acquiring ‘Dixieland’, a 755-hectare property situated in the Snowy Monaro region of Southern NSW, about 2.5 hours southwest of Canberra.

Kain Lawyers Director Brian Vuong said, “We are delighted to have advised CIM on all aspects of its innovative financing to Greening Australia to acquire Dixieland. This project will enable Greening Australia to restore the land by planting approximately 140,000 native trees and shrubs. This is a great example of impact investing making a real impact on environmental restoration in Australia.”

Greening Australia and CIM intend to register the property as an environmental plantings project through the Clean Energy Regulator. Greening Australia will serve as both landowner and project developer, while CIM has provided innovative financing for the project. Repayments for the project are tied to the generation and sale of Australian Carbon Credit Units (ACCUs) under the environmental planting methodology.

The restoration effort aims to support various nationally listed woodland bird species and prioritise long-term climate resilience.

Opportunities in South Australia’s commercial property sector for local and interstate investors

Transaction specialists Kain Lawyers are delighted to announce their legal advisory role in the successful sale of 104 Frome Street, Adelaide, for $14,200,000. This deal stands as Adelaide’s largest CBD office transaction in over 12 months, signifying a shift in the city’s commercial property sector.

Kain Lawyers Director and Head of Property and Real Asset Transactions Jason Vernik said there have been substantial shifts in South Australia’s commercial property sector amidst the challenges presented by COVID-19.

“The commercial property sector in South Australia has undergone a rapid transition since the start of COVID-19, with significant supply coming online over the past few years. That said, Adelaide CBD has seen a high occupancy rate relative to other capital cities, and tenant demand remains strong.”

Mr Vernik further noted, “This has propped up local and interstate interest in South Australian commercial property at a time when commercial property has been viewed less desirably compared to other classes. Some of this interest, however, remains subdued as a result of continuing interest rate uncertainty and an unmet demand for higher yields.

“While South Australian transaction volumes remain down on previous years, opportunities remain for investors to acquire and upgrade ageing commercial stock or to undertake new development.”

The sale reflected an initial yield of 6.88%. Acting agents for the property were JLL.

My Care Solution Sale to Healthcare Australia

Transaction specialists Kain Lawyers is delighted to announce its legal advisory role in the successful sale of My Care Solution to Healthcare Australia (HCA). This acquisition marks a significant milestone for the Australian aged care sector.

My Care Solution has ranked highly in this year’s AFR Best Places to Work survey and employs 200 carers who visit older Australians in their homes. HCA, which is owned by Sydney-based venture capital firm Crescent Capital Partners, is one of Australia’s largest diversified healthcare providers.

The Kain Lawyers team was led by Director Gerry Cawson and Associate Director Sam Christie.

Mr Cawson said the landscape continues to provide opportunities for service providers in the healthcare and aged care industries to attract capital and achieve wonderful outcomes in selling their businesses.

“The aged care and healthcare sectors continue to attract attention of private capital providers who are keen to put their capital to work in consolidating what has historically been a fragmented provider market. Our team was delighted to help the owners of My Care Solution to navigate the complexities of their sale to HCA, one of the largest private equity-backed providers in the industry,” said Mr Cawson.

With an active workforce of approximately 15,000 healthcare workers and clinicians, HCA operates nationwide, serving public and private hospital groups, residential aged-care facilities, and Australians in their homes.

The transaction, which took effect on May 1, 2024, saw HCA acquire 100% ownership of My Care Solution.
