Stephen Vrettos, Associate Director

Stephen is an experienced corporate lawyer specialising in mergers and acquisitions, private equity and private capital raisings. Stephen has advised a diverse range of clients including private equity and growth equity funds, privately held Australian companies, founders and start-ups, and listed public companies.

Stephen has recently been involved in significant acquisitions, mergers, and capital raising activities across various industries.

Stephen’s recent experience includes advising:

  • Pemba Capital Partners on various bolt-on acquisitions for its in-home care platform (Lumia Care Group), as well as management equity plan offers and general corporate governance matters;
  • 29 North and Day Hospital Partners on the structuring, establishment and capitalisation of a day hospital investment platform and subsequent acquisitions of day hospitals across Australia;
  • Milton Corporation Limited (ASX: MLT) on its $11 billion merger with Soul Patts (ASX: SOL) by way of scheme of arrangement;
  • Xplore Wealth Limited (ASX:XPL) on its $60 million acquisition by HUB24 Limited (ASX:HUB) by way of a concurrent share scheme of arrangement and option scheme of arrangement;
  • Alquemie Group (a retail brands investment platform) on its $60+ million acquisition of General Pants Co;
  • Five V Capital on its growth equity investment into online payments processor Fat Zebra, by way of acquisition of shares and subscription for convertible redeemable preference shares;
  • An Asia-Pacific conglomerate in the automotive sector on its acquisition of a diesel fuel injection parts distribution and repair services business from an ASX-listed market leader; and
  • Rounders, early stage companies and venture capital investors in relation to capital raisings, including Soho Property (‘the LinkedIn for real estate’), Renewable Metals (a developer of alkali recycling processes for lithium batteries), Vlepis Solutions (a developer of advanced medical sensing technology), Perennial Partners, and Soul Patts.
